Estate Planning is important, no matter what size your estate may be. Through estate planning, you ensure that your assets will go to your intended beneficiaries. You also may save money on taxes, court costs and attorney’s fees, and prevent litigation among your heirs and financial confusion after your death. You can also avoid probate and can protect your estate assets against your possible future mental or physical incapacity and the catastrophic costs of long-term medical and nursing care.
Last Will and Testament
With a will, you can: (1) direct where and to whom your estate will go after your death (2) make the administration of your estate much easier for your heirs (3) choose the person to administer your estate and distribute your assets according to your wishes (4) reduce estate taxes, and (5) appoint a guardian for your minor children.
Durable Power of Attorney
The durable power of attorney is the most important estate planning instrument available - even more useful than a will. A power of attorney allows you to appoint an agent to act in your place for financial purposes.
Advanced Medical Directive
An advance medical directive allows you to: (1) give instructions to medical providers concerning your care if you are terminally ill or in a vegetative state, and (2) choose a medical power of attorney to make health care decisions for you if you are unable to do so yourself.
A living trust is a legal arrangement through which one person (or an institution, such as a bank or law firm), called a trustee, holds legal title to property for another person, called a beneficiary. The rules or instructions under which the trustee operates are set out in the trust instrument. Some advantages in establishing a trust are: avoiding probate; tax savings; protecting property from creditors; providing for the continuing care of a disabled child or other relative; and, helping to qualify for Medicaid or other needs-based public benefits.
As part of the analysis of your particular situation, it is important to make certain that your assets are titled correctly so they pass to your heirs as you intend.

The formation of a business involves many factors. We have experience helping individuals to set up their new business. We can prepare the Business License, Tax ID Numbers, Buy/Sell Agreement, Copyright, Fictitious Business Name, Employment Agreement, Incorporation, Incorporation Kit, Limited Liability Company (LLC), Corporation/LLC Dissolution, Corporation Minutes, Corporation Name Change, Independent Contractor Agreement, Mechanics Lien, Non-Competition Agreement, Non-Disclosure Agreement, Partnership Agreement, Partnership Dissolution, General Agreement, Small Claims, Trademark Registration, among other forms depending on what type of business it is, but before we can do that the entrepreneur needs to determine which business entity best fits their needs.
There are many types of business entities:
1. Sole Proprietorship - An individual owns and operates a business. A sole proprietor has total control, receives all profits from and is responsible for taxes and liabilities of the business.
2. Partnership is where two or more persons are engaged in a business for profit. Except as otherwise provided by law, all partners are liable jointly and severally for all obligations of the partnership unless agreed by the claimant.
3. Limited Partnership may provide limited liability for some partners. There must be at least one general partner that acts as the controlling partner and one limited partner whose liability is normally limited to the amount of control or participation of the limited partner. General partners of an LP have unlimited personal liability for the LP’s debts and obligation.
4. Limited Liability Partnership is a partnership that engages in the practice of public accountancy, the practice of law, the practice of architecture, the practice of engineering or the practice of land surveying, or provides services or facilities to a California registered LLP that practices public accountancy or law, or to a foreign LLP. An LLP is required to maintain certain levels of insurance as required by law.
5. Limited Liability Company generally offers liability protection similar to that of a corporation but is taxed differently. Domestic LLCs may be managed by one or more managers or one or more members. In addition to filing the applicable documents with the Secretary of State, an operating agreement among the members as to the affairs of the LLC and the conduct of its business is required.
6. Corporation is a legal entity which exists separately from its owners. While normally limiting the owners from personal liability, taxes are levied on the corporation as well as on the shareholders. The sale of stocks or bonds can generate additional capital and the longevity of the corporation can continue past the death of the owners.
7. Non-Profit Corporation - California nonprofit, nonstock corporations organized for religious, charitable, social, educational, recreational or similar purposes are formed pursuant to the Nonprofit Corporation Law, commencing with California Corporations Code section 5000.
A. A corporation organized to operate a church or to be otherwise structured for primarily or exclusively religious purposes is a nonprofit Religious corporation.
B. A corporation organized primarily or exclusively for charitable purposes and which plans to obtain state tax exempt status under California Revenue and Taxation Code section 23701(d) and/or federal tax exempt status under Internal Revenue Code section 501(c)(3) or organized to act as a civic league or a social welfare organization and which plans to obtain state tax exempt status under California Revenue and Taxation Code section 23701(f) and/or federal tax exempt status under Internal Revenue Code section 501(c)(4) is a nonprofit Public Benefit corporation.
C. A corporation organized for other than religious, charitable, civic league or social welfare purposes and planning to obtain tax exempt status under provisions other than California Revenue and Taxation Code sections 23701(d) and 23701(f), Internal Revenue Code section 501(c)(4), or not planning to be tax exempt at all, is a nonprofit Mutual Benefit corporation.

Civil Case Support
There are many different kinds of cases in civil court:
General civil cases, usually involving suing someone for money in disputes over things like contracts, damage to property, or someone getting hurt. These are either “ LIMITED” ($25,000 or less) and “UNLIMITED” (more than $25,000).
Name Changes, Civil Harassment and many others.
There is no right to a court-appointed lawyer in most civil cases. This means that, if you cannot afford a lawyer and you cannot get a legal aid or pro bono (volunteer) lawyer, you have to represent yourself.
Civil Cases are sometimes complex and can range in price. Please call for a quote.
Unlawful Detainer aka Eviction
When a landlord wants to end a tenancy involuntarily after the tenant has taken possession of the rental premises, the landlord must take certain legal steps to do so. An unlawful detainer lawsuit is a "summary" court procedure. This means that the court action moves forward very quickly, and that the time given the tenant to respond during the lawsuit is very short. For example, in most cases, the tenant has only five days to file a written response to the lawsuit after being served with a copy of the landlord's summons and complaint. Normally, a judge will hear and decide the case within 20 days after the tenant or the landlord files a request to set the case for trial.Landlords in California must first follow all requirements for eviction proceedings prescribed in California statutes and follow any applicable local ordinances.

Expungement of Criminal Records
In California, an expungement is a legal process by which a criminal conviction resulting from a guilty plea, "no contest" plea or a finding of guilt by a judge or jury is set aside and the case is dismissed. Although the arrest, prosecution and conviction record still exists, a notation in the court file, as well as in the California Department of Justice and FBI files, reflect the entering of a plea of not guilty and the case dismissal.
